Brian Donnelly advises companies and individual senior executives on a wide variety of corporate, securities, compensation, employment, intellectual property and real estate matters. Although his practice is focused on pre-public companies, Mr. Donnelly has extensive experience working with publicly traded companies and their executives. Mr. Donnelly is also considered an expert on executive compensative and stock compensation plans; and has lectured on these subjects at numerous venues, including the Stanford Business School and the Software Development Forum. Mr. Donnelly designs and administers numerous types of compensation plans, including stock option plans, employee stock purchase plans, phantom stock plans, and stock appreciation rights plans. He has also handles a variety of parachute tax issues. Mr. Donnelly founded Cornerstone Law Group after practicing at Brobeck, Phelger & Harrison, Cooley Godward, and Gray Cary Ware & Freidenrich. Mr. Donnelly earned a J.D. from U.C. Hastings College of the Law in 1991, and an LL.M. in Taxation from New York University in 1994. Mr. Donnelly earned a B.A. and M.A. in accounting from The Catholic University of America in 1988, where he was elected to Phi Beta Kappa. He was the youngest person to ever receive a master's degree from CUA's school of business. Mr. Donnelly is a member of the California and San Francisco Bar Associations, and is also a licensed California real estate broker.
